Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Earnly Inc. ("Earnly," "we," "us," or "our") governing your access to and use of the Earnly platform at earnly.us and all related services. By accessing or using our platform, you agree to be bound by these Terms.

Eligibility

To use Earnly, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Not be prohibited from using our services under applicable laws
• Successfully complete our identity verification process

Account Registration and Security

Account Creation

You must create an account to access most features of our platform. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and complete
• Maintain the confidentiality of your password and account credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

Account Suspension and Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. You may close your account at any time by contacting us at contact@earnly.us.

Platform Use and Task Completion

Task Assignment

Earnly provides a platform connecting contributors with AI training tasks. We do not guarantee:

• The availability of tasks at any given time
• A minimum number of tasks or earnings
• That you will qualify for all task types

Quality Standards

You agree to:

• Complete tasks honestly and to the best of your ability
• Follow all task instructions and guidelines
• Not use automated tools, bots, or scripts to complete tasks
• Not collaborate with others on tasks meant to be completed individually
• Not attempt to manipulate quality metrics or payment systems
• Maintain confidentiality of task content and data

Payment Terms

Earnings

You earn money by successfully completing tasks according to our quality standards. Payment amounts are determined by task complexity, length, and quality requirements.

Payment Schedule

• Weekly payouts: Processed every Friday for work completed the previous week
• Monthly payouts: Processed on the first business day of each month
• Minimum payout threshold: $10.00 USD
• Payment processing time: 3-5 business days

Payment Methods

We support the following payment methods:

• PayPal
• Bank transfer (ACH for US, SEPA for EU)
• International wire transfer
• Digital wallets (Wise, Payoneer)

Taxes

You are responsible for all taxes associated with your earnings. We may report payments to tax authorities as required by law. US contributors earning over $600 annually will receive a 1099-NEC form.

Intellectual Property

Platform Content

All content on the Earnly platform, including text, graphics, logos, software, and design, is owned by Earnly or our licensors and protected by copyright, trademark, and other intellectual property laws.

Your Contributions

By submitting task responses, annotations, or other content, you grant Earnly and our AI company partners a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your contributions for AI training and related purposes.

Prohibited Conduct

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Create multiple accounts or share accounts
• Use automated systems to access or interact with the platform
• Attempt to circumvent security measures or access restrictions
• Reverse engineer, decompile, or disassemble any part of the platform
• Interfere with or disrupt the platform or servers
• Engage in fraud, manipulation, or deceptive practices
• Harass, threaten, or abuse other users or our staff
• Share confidential task content or data outside the platform

Disclaimers and Limitations of Liability

Service Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EARNLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at contact@earnly.us to attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform. Your continued use of the platform after such notification constitutes acceptance of the modified Terms.
